New Advisory Board Members at VocaWorks

I'm thankful for the chance to work with many great people at VocaWorks, including our staff, board, and other stakeholders. We just formed an advisory board with six initial members - these are all people that I personally think very highly of. Each of these advisors has been involved in building highly successful business ventures. Their backgrounds in software, recruiting, marketing, and education align perfectly with our goals. They will be fantastic additions to the team at Truli Technologies & VocaWorks!

Truli Announces the Appointment of Two Independent Directors

BRISTOL, Conn., March 01, 2018 (GLOBE NEWSWIRE) -- Truli Media Group, Inc., which is in the process of changing its name to Truli Technologies, Inc. (TRLI), a company focused on the development and acquisition of technology that solves industry challenges through connection, fluidity of business transactions and engagement, today announced the appointment of Mr. Douglas Roth and Mr. Wallace (“Wally”) D. Ruiz as new independent directors, effective immediately. Miles Jennings will continue to hold the combined positions of Chief Executive Officer and Chairman of the Board and is the only non-independent board member.

Mr. Douglas Roth serves as a Director and Investment Manager at Connecticut Innovations, Inc. since 2011 and is responsible for sourcing new investment opportunities, serving on the boards of portfolio companies, and supporting their growth and success. Douglas was selected for appointment to the Board for his experience from previously serving on the board of non-public technology companies and the skills he gained from previously advising companies regarding product development and launch.

Mr. Wally D. Ruiz serves as the Chief Financial Officer of Inuvo, Inc., an advertising technology company based in Little Rock, AR since June 2010. Wally was selected for appointment to the Board for his experience with public companies as well as his accounting skills. Wally is a Certified Public Accountant in the state of New York.

(TRLI), a company focused on the development and acquisition of technology that solves industry challenges through connection, fluidity of business transactions and engagement, today is providing shareholders an update on its wholly-owned subsidiary, VocaWorks, and newly appointed Chief Executive Officer, Miles Jennings.

VocaWorks is seeking to disrupt the traditional staffing industry with an on-demand, cloud-based, online and mobile hiring platform, connecting technology professionals with some of the world’s most innovative emerging growth companies. With one-tap notifications, user profiles, and full project tracking, VocaWorks will bring a new level of engagement and simplicity to the recruitment and onboarding of talented consultants for project-based hiring needs. Truli Media Group Announces New Business Venture

Company Enters the Rapidly Expanding Field of Online and Mobile-enabled Staffing and Talent Acquisition Solutions

Truli Media Group, Inc. (TRLI) (the "Company") announced today the entry into a new business line.

The Company is rebranding itself under the "VocaWorks" brand name and moving into the rapidly expanding field of online and mobile-enabled staffing and talent acquisition solutions. The Company, through its newly formed subsidiary, VocaWorks, Inc. ("VocaWorks"), will offer a suite of native mobile apps on iOS and Android, as well as a web-based SaaS offering. The platform will facilitate the hiring of personnel, including project-based consultants, focusing initially on specialized technology talent.

According to research from Intuit and Emergent, the gig economy is projected to almost double within four years. As such, the Company is confident in the demand for innovative new products for this rapidly growing market. The Company believes that the trend of linking talent to employer demand through online methods will continue to grow, encompassing longer-term projects and more highly specialized skills and job functions, such as programming and project management.

As part of its rebranding, VocaWorks and the Company have entered into a license agreement with Recruiter.com, Inc. ("Recruiter"), a leading job marketplace, online platform, and recruiting community, under which Recruiter has granted VocaWorks a license to use certain of Recruiter's proprietary software and related intellectual property and has agreed to deliver strategic marketing and development services to VocaWorks. Miles Jennings, the newly appointed Chief Executive Officer ("CEO") of the Company and President of VocaWorks, comes to the Company from Recruiter, where he served as Founder and CEO. He will continue to serve as President and Chairman of the Board of Recruiter. In accordance with the terms of the license agreement, holders of the Company's outstanding 4% Convertible Notes and 10% Convertible Notes (the "Investors") converted their Notes into shares of Series C and Series C-1 Convertible Preferred Stock, respectively.

Immediately following the closing of the license transaction, the Company entered into Securities Purchase Agreements (each an "SPA") with the Investors. Pursuant to the terms of the SPA, the Investors purchased 600,000 shares of Series A Convertible Preferred Stock and Warrants to purchase 120,000,000 shares of the Company's Common Stock for gross proceeds of $600,000. The preferred stock is convertible at any time into shares of the Company's Common Stock at $0.005 per share, subject to adjustment in the event of stock splits, stock dividends or reverse splits and issuances of securities at prices below the prevailing conversion price of the shares of preferred stock.

Immediately following the closing of the SPA, Michael Solomon, a director of the Company exercised his option, granted to him in September 2016, to purchase the Company's subsidiary, Truli Media Corp. ("TMC") for $5,000. As a result, TMC is no longer a subsidiary of the Company and the Company no longer operates as a collaborative digital platform for members of the faith and family community. Mr. Solomon remains a director until he is replaced in compliance with Rule 14(f)-1 under the Securities Exchange Act of 1934.

We're Partnering with YEC

I've very much enjoyed being a member of YEC (Young Entrepreneur Council) for a few years now. It's a fantastic community of vetted entrepreneurs and business owners. There are tons of special membership resources, but really the most important benefit is the community itself. Their Facebook community is very active and engaged, and they hold special events all over the country to connect their members offline. 

I'm especially happy for my company, Recruiter, to be able to offer their members special services on recruiting employees. A lot of the companies are very fast growing, and are 100% run by super motivated, dynamic entrepreneurs. We announced the partnership today and look forward to working closely with their members to help grow their companies. 

I am also giving a (very) unsolicited shout-out to YEC as an exceptional community of entrepreneurs. If you are looking for a peer group for mentorship, networking, or mental support (lol), I would definitely recommend YEC.
